Wholesale Terms & Conditions​

These Wholesale Terms and Conditions apply to all wholesale purchases of products from Forthay Granola Limited (“Forthay”, “we”, “us” or “our”) by a business customer (“Customer”, “you” or “your”).

These terms apply to business-to-business transactions only and do not apply to consumers purchasing products for personal use.

By opening a wholesale account, placing an order with Forthay, ordering through our wholesale customer portal, or otherwise purchasing products from us on a wholesale basis, you agree to these Wholesale Terms and Conditions.

1. Wholesale Customers

Our wholesale products are supplied to bona fide businesses including, but not limited to, farm shops, delicatessens, garden centres, independent retailers, hotels, cafés, restaurants, hospitality businesses and other approved trade customers.

Forthay reserves the right to approve or decline wholesale account applications at its discretion.

Wholesale products are supplied for resale or legitimate use within the Customer’s business and may not be resold to another wholesaler or distributor without our prior written agreement.

2. Orders

Orders may be placed through the wholesale customer portal or other means agreed with Forthay.

All orders are subject to acceptance and product availability.

An order shall not be considered accepted until it has been confirmed by Forthay or we have commenced fulfilment of the order.

Any minimum order quantities or minimum order values applicable at the time of ordering will be communicated through our current wholesale price list, wholesale portal or directly by Forthay.

We reserve the right to amend minimum order quantities from time to time.

As our products are handmade in small batches and freshly baked to order, lead times may vary depending upon order size and seasonal demand. Any delivery or dispatch dates given are estimates unless expressly agreed otherwise in writing.

3. Prices

Wholesale prices are those shown on our current wholesale price list or otherwise quoted and agreed at the time an order is accepted.

All prices are exclusive of VAT where applicable and exclusive of delivery charges unless otherwise stated.

Forthay reserves the right to change wholesale prices from time to time to reflect changes in ingredient, packaging, production, energy, transport or other business costs.

Where practicable, we will provide reasonable notice of significant price changes to existing wholesale customers.

Price changes will not affect orders already accepted by Forthay unless otherwise agreed.

4. Payment Terms

Our standard wholesale payment terms are 15 days from the date of invoice, unless alternative payment arrangements have been agreed in writing with Forthay in advance of purchase.

Invoices must be paid in full in pounds sterling to the bank account or by the payment method specified on the invoice.

Customers must notify Forthay promptly if they believe an invoice is incorrect or wish to dispute any part of an invoice.

The undisputed portion of an invoice remains payable in accordance with the agreed payment terms.

We reserve the right to require payment in advance or payment at the time of ordering for new customers, customers without an agreed credit account or where we reasonably consider there to be a credit risk.

5. Late Payment

Where an invoice is not paid by its due date, Forthay reserves the right to suspend further deliveries and/or place the Customer’s wholesale account on hold until all overdue amounts have been settled.

Where applicable, Forthay also reserves the right to claim statutory interest and compensation for late payment in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as amended.

The Customer will also be responsible for reasonable costs incurred by Forthay in recovering overdue amounts where permitted by law.

Repeated late payment may result in the withdrawal or reduction of credit facilities and future orders being supplied on a pro-forma basis.

6. Delivery

Delivery charges and arrangements will be confirmed at the time of ordering or detailed on our current wholesale price list or wholesale portal.

The Customer is responsible for ensuring that the delivery address and any relevant delivery instructions supplied to Forthay are accurate.

Where a delivery cannot be completed because incorrect information has been supplied or because no reasonable means of accepting the delivery is available, additional delivery charges may apply.

Any delivery dates provided are estimates. While we will always endeavour to meet agreed delivery dates, Forthay will not be liable for reasonable delays outside our control.

7. Checking Deliveries and Reporting Problems

Customers should inspect deliveries as soon as reasonably practicable following receipt.

Any shortages, incorrect products, visible damage or other apparent delivery issues should be reported to Forthay within 48 hours of delivery, wherever reasonably possible, together with photographs or other supporting information where appropriate.

If products are believed to be faulty or otherwise not in accordance with the order, please contact Forthay promptly so that we can investigate.

Nothing in these terms affects any rights or remedies which cannot lawfully be excluded or restricted.

8. Cancellations and Amendments

Because Forthay products are freshly baked to order, Customers should notify us as soon as possible if they wish to amend or cancel an order.

Once production of an order has commenced, we may be unable to accept a cancellation or reduction in quantity.

Where ingredients, packaging or other costs have already been committed specifically for an order, Forthay reserves the right to charge reasonable costs arising from a late cancellation or amendment.

9. Returns

Wholesale food products cannot ordinarily be returned simply because they have not sold or because the Customer has ordered more stock than required.

This does not affect products which are faulty, damaged, incorrectly supplied or otherwise fail to meet the applicable contractual or legal requirements.

Returns must not be sent to Forthay without prior agreement.

Where we agree that products should be returned, we will provide appropriate return instructions.

10. Product Shelf Life, Storage and Stock Rotation

Our products are supplied with appropriate best-before information.

Once delivered, the Customer is responsible for storing and handling Forthay products in accordance with the instructions provided on the packaging and any additional guidance supplied by Forthay.

Customers are responsible for appropriate stock rotation and for ensuring that products offered for sale remain within their stated best-before date and are stored in suitable conditions.

Forthay cannot accept responsibility for deterioration or damage caused by incorrect storage, handling, display or transportation after delivery.

11. Food Safety, Ingredients and Allergens

Forthay provides ingredient, allergen and nutritional information as required for its products.

Customers must not remove, obscure, alter or replace product labels, ingredient information, allergen information, best-before dates, batch information or other legally required information without Forthay’s prior written approval.

Where a Customer uses Forthay products within its own food service operation — for example as part of a breakfast buffet, menu item, recipe or other food preparation — the Customer is responsible for ensuring that accurate ingredient and allergen information is communicated to its own customers in accordance with applicable food law.

Customers should always refer to the current product packaging and product specification rather than relying on historic product information, as recipes and ingredients may occasionally change.

12. Product Changes and Availability

As an artisan food producer, we may occasionally make reasonable changes to ingredients, recipes, packaging, product presentation, pack sizes or product specifications.

Where a change is material, we will endeavour to communicate it to affected wholesale customers.

All products are subject to availability.

If an ingredient or product becomes temporarily unavailable, we will contact the Customer where reasonably practicable to discuss alternatives, revised quantities or a revised delivery date.

13. Resale and Presentation of the Forthay Brand

Forthay products must be sold in a manner consistent with the premium positioning and reputation of the Forthay brand.

Customers must not alter, repackage or relabel Forthay branded retail products without our prior written consent.

Forthay’s name, logos, product photography, packaging designs, product descriptions and other intellectual property remain the property of Forthay or its respective licensors.

Approved wholesale customers may use Forthay-provided product imagery and marketing materials for the purpose of promoting and selling genuine Forthay products purchased directly from us, unless we advise otherwise.

Any other use requires our prior permission.

14. Online Resale and Third-Party Marketplaces

Wholesale Customers may sell Forthay products through their own physical retail premises and their own business website.

Products must not be listed or sold through third-party online marketplaces, discount websites or other third-party sales platforms without prior written approval from Forthay.

Customers must not present themselves as Forthay, an official Forthay website or an exclusive Forthay distributor unless expressly authorised by us in writing.

15. Recommended Retail Prices

Where Forthay provides a recommended retail price, this is a recommendation only.

Wholesale Customers remain free to determine their own resale prices.

16. Product Recall and Food Safety Incidents

If Forthay becomes aware of a product safety issue or circumstances requiring product withdrawal or recall, affected Customers will be contacted as quickly as reasonably practicable.

Customers agree to cooperate promptly with any reasonable product withdrawal, recall, traceability or food-safety instructions issued by Forthay.

Customers should maintain sufficient records to enable affected stock to be identified where reasonably required.

17. Retention of Title

Ownership of products supplied by Forthay will not pass to the Customer until Forthay has received payment in full for those products.

Risk in the products passes to the Customer upon delivery.

Until ownership has passed, the Customer should, so far as reasonably practicable, keep unpaid products identifiable as Forthay products and must not deliberately remove identifying batch or traceability information.

18. Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the above, Forthay will not be liable for indirect or consequential losses, loss of profit, loss of business, loss of anticipated savings or loss arising from circumstances outside our reasonable control.

Forthay’s liability in relation to a particular order will, to the fullest extent permitted by law, be limited to the value of the products giving rise to the claim.

19. Events Outside Our Control

Forthay will not be responsible for delay or failure to fulfil an order where this results from circumstances outside our reasonable control.

These may include, without limitation, severe weather, transport disruption, postal or courier disruption, fire, flood, power failure, equipment failure, interruption to ingredient or packaging supplies, industrial action, epidemic or pandemic, government action or other unforeseen events.

Where such circumstances occur, we will endeavour to keep affected Customers informed and resume supply as soon as reasonably practicable.

20. Suspension or Closure of a Wholesale Account

Forthay reserves the right to suspend or close a wholesale account where there are reasonable grounds to do so, including persistent late payment, non-payment, misuse of the Forthay brand, unauthorised resale, breach of these terms or conduct which could reasonably damage the reputation of Forthay.

Any outstanding invoices remain payable following suspension or closure of an account.

21. Confidentiality

Wholesale price lists, trade pricing, commercially sensitive information and other information identified as confidential and supplied by Forthay should not be disclosed to third parties other than where reasonably necessary for the Customer’s business or where disclosure is required by law.

22. Data Protection

Personal information relating to wholesale Customers and their representatives will be handled in accordance with applicable UK data protection legislation and Forthay’s Privacy Policy.

23. Changes to These Terms

Forthay may update these Wholesale Terms and Conditions from time to time.

The terms applicable to an order will normally be those in force when that order is accepted, unless otherwise agreed.

The latest version of our Wholesale Terms and Conditions will be available on our website.

24. Governing Law

These Wholesale Terms and Conditions and any dispute or claim arising from them shall be governed by the laws of England and Wales.

The courts of England and Wales shall have jurisdiction in relation to any dispute arising from these terms.
